Terms of Use 

These Terms of Use (the “ToU”) constitute the agreement between you (“You”/ “the User”/ “the Customer”) and [FULLFORMNAMEOFSKYNET] (the “SKYNET”/ “Company”/ “We”/ “Our”/ “Us”), the provider of the SKYNET website/application and the services accessible on such website/application (the “Services”). These ToU govern your access to and/or use of our the Services and apply to the entire SKYNET’s website, mobile application and any email or other type of communication between You and SKYNET.  

By accessing, using or registering our Services in any manner, You are indicating that You understand and consent to be bound by all the ToU outlined below.  

1. Definition 

“Payment Method” means a currently valid, accepted method of payment for the Membership, as may be updated by us from time to time and displayed on the SKYNET Platform. This may include payment through your account with a third-party payment processor. 

2. Content Usage  
2.1 Age Requirement  

To subscribe to the Services, you must be at least 18 years old. Minors (under 18) can only use the Services under the direct supervision of an adult. 

2.2 Account Access and Content Usage: 

  1. Personal and Non-Commercial Use: Your SKYNET subscription and any content accessed through the Services are for your personal, non-commercial use only. Sharing content with individuals outside your household is prohibited unless your specific subscription plan allows otherwise. 

  2. Limited License: During your subscription period, SKYNET grants you a limited, non-exclusive, and non-transferable right to access the SKYNET service and its content. No additional rights, titles, or interests are transferred to you beyond this access. 

  3. Prohibition on public performance: You agree not to use the Service for public performances.  

2.3 Geographic Restrictions and Content Availability 

  1. Access Location: You can primarily access SKYNET content within the country where you established your account and in geographic locations where your subscription plan is offered and the content is licensed. 

  2. Content Variation: The content library may vary depending on your geographic location and is subject to change over time. Not all content may be available in ad-supported subscription plans. 

  3. Device Limits: The number of devices on which you can simultaneously stream SKYNET content depends on your chosen subscription plan and is specified on your “Account” Page.  

2.4 Service and Content Updates 

  1. Regular Updates: SKYNET regularly updates the Services including but not limited to the content library. 

  2. Feature Testing: We may conduct tests on various aspects of the service, including user interfaces, websites, and promotional features. You can opt-out of these tests at any time through your “Account” page settings. 

2.5 Offline Viewing  

  1. Limited Availability: Certain subscription plans may fee select SKYNET content for temporary download and offline viewing on compatiable devices (the “Offline Titles”). 

  2. Download Limitations: Restrictions apply to Offline Titles, including: 

    1. Number of downloads per account; 

    2. Maximum number of devices storing downloads; 

    3. Viewing window after download initiation; 

    4. Duration of offline accessibility. 

  3. Geographical Restrictions: Offline Titles may not be playable in certain countries. If you travel to a country where streaming the download content is unavailable, you cannot access the offline title while there. 

3. Payment and Subscriptions 

3.1 Subscription Options 

Enjoy SKYNET with a variety of subscription plans to suit your preferences. Plans may include as below. We reserve the right to modify plans and pricing with advance notice. 

  1. Plans with Advertisements: These plans allow access to the full range of the Services but may include commercial breaks, advertisements and other promotional messages. 

  2. Plans without Advertisements: These plans aims to minimize interruptions by limiting advertisements. However, please note that these plans may still include some limited commercial content, such as brand content or sponsorship messages.  

3.2 Subscription Period 

Your membership in SKYNET (the “Membership”) will continue indefinitely until terminated by you pursuant to these ToU or the Membership period that you prescribed expired in case you don’t renew your Membership. 

3.3 Access Requirements 

To access and use the “Services”, you must have: 

  1. Internet Access: a functioning and reliable internet connection; and 

  2. SKYNET Ready Device: A device compatible with the Services. 

3.4 Live Events, Special Events and New Features 

SKYNET may offer access to live or special events, including replays of such content, or introduce new features from time to time. These offering may contain advertisements regardless of your chosen subscription plan. 

3.5 Third-Party Subscriptions 

Some SKYNET subscriptions are offered in collaboration with third-party providers who may bundle them with their own products and services. These subscriptions may have specific terms and conditions that differ from stanard SKYNET plans 

3.6 Subscriptions through SKYNet Member  

If you are the SKYNET Channel subscriber, you will automatically access this subscriptions.  

3.7 Subscription Details and Access 

You can find detailed information regarding your specific SKYNET subscription plan, including any applicable limitations or conditions, by visiting our website at https://www.skynet.com.mm/and clicking on the “Account” link located at the top of the page under your profile name.  

4. Billing and Cancellation  

4.1 Payment Methods 

  1. Authorisation for Payment: You authorise us to charge your chosen Payment Method for the subscription fee associated with your Membership (the “Subscription Fee”). This authorisation will occur on a recurring basis coinciding with your billing cycle (the “Billing Date”).  

4.2 Billing Cycle 

  1. Subscription Fee: The fee for the Services will be charged to your chosen Payment Method on the specific payment date displayed on your "Account" page. 

  2. Billing Cycle Length: The billing cycle length depends on the subscription plan you selected at signup. 

  3. Payment Date Changes: In rare cases, your payment date may change. This could occur due to (i)Payment Method decline, (ii) Subscription plan changes, (iii) Initial subscription starting on a non-standard date within a month. 

  4. Viewing Next Payment Date: Visit our website athttps://www.skynet.com.mm/ and navigate to the "Billing details" section within your "Account" page to see your next payment date. 

4.3 Payment Methods 

  1. Requirement: To utilize the Services, you must provide at least one valid Payment Method. 

  2. Authorization for Secondary Payment: You authorize SKYNET to charge any secondary Payment Methods associated with your account if your primary Payment Method is declined or unavailable for subscription fee payment. 

  3. Responsibility for Uncollected Amounts: You remain liable for any outstanding charges even if a payment fails. 

  4. Suspension for Non-Payment: If a payment fails due to expiration, insufficient funds, etc., and your account remains uncancelled, SKYNET may suspend access to services until a valid Payment Method is successfully charged. 

  5. Third-Party Payment Method Fees: Certain fees, such as foreign transaction charges, may be applied by your Payment Method provider. The applicable tax charges may also vary depending on the chosen method. Please consult your Payment Method service provider for details. 

4.4 pdating Payment Methods  

You can update your Payment Methods by visiting the “Account” page within the SKYNET platform. SKYNET may also update your Payment Methods using information obtained from payment service providers. Following any update, you authorise SKYNET to continue charging the applicable Payment Method(s).  

4.5 Cancellation  

You have the right to cancel your SKYNET Subscription at any point. Following cancellation, you will retain access to the Services until the end of your current billing period. Please note that: 

  1. Payments are non-refundable. 

  2. SKYNET does not offer refunds or credits for unused portions of subscription periods or unaccessed SKYNET content. 

Cancellation instructions are available on the “Account” page. Cancellation your subscription will automatically close your account at the end of your current billing period. The “Account” page provides information regarding your account closure date. 

4.6 Cancellation with Third-Party Subscription Note  

If you subscribed to SKYNET using a third-party account as your Payment Method, cancellation might require action through that platform. This may involve visiting your account with the relevant third party and disabling auto-renewal or unsubscribing from the Services through their interface. 

4.7 Price and Subscription Plan Changes 

SKYNET reserves the right to modify subscription plans and service pricing from time to time. We will provide notification at least one month in advance of any price changes or adjustments to your subscription plan. If you choose not to accept the price change or subscription plan modification, you can cancel your subscription before the changes take effect. 

5. Promotion  

5.1 Offer Availablity 

SKYNET may, at its sole discretion, offer special promotions, plans, or subscriptions (the “Offers”). We reserve the right to revoke an Offer and place your account on hold if we determine you are ineligible. 

5.2 Eligibility for Offers 

Eligibility for Offers is determined by the SKYNET. Existing or recent SKYNET subscribers may not be eligible for certain introductory Offers. 

5.3 Determining Eligibility 

SKYNET may utilize various methods to determine your eligiblity for Offers, including: 

  1. Device ID; 

  2. Payment Method; 

  3. Account Email Address (used with an existing or recent SKYNET subscription). 

5.4 Disclosure of Terms 

The Specific eligibility requirements, limitations, and other conditions applicable to each Offer will be clearly disclosed at the time of signup or through separate communications.  

6. User Conduct 

6.1 Prohibited Activities: 

In using the Services, you agree to refrain from the following activities, unless explicitly authorised by the SKYNET: 

  1. Content Restrictions: You may not archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use content and information obtained from the Services in any unauthorised manner. 

  2. Circumventing Security Measures: You may not circumvert, remove, alter, deactive, degrade, block, obscure, or thwart any content protection measures or other elements of the Services, including the user interface, advertising, copyright notices, and trademarks. 

  3. Unauthorised Access Tools: The use of any automated tools like robots, spiders, or scrapers to access the Services is prohibited. 

  4. Reverse Engineering: Decompiling, reverse engineering, or disassembling any software or processes associated with the Services is not allowed. 

  5. Content Manipulation: Inserting code, products, or manipulating the content of the Services in any way is strictly forbidden. 

  6. Data Mining: Data mining, data gathering or extraction methods are prohibited. 

  7. Harmful Uploads: Uploading, posting, emailing or transmitting any material designed to disrupt, destroy, or limit the functionality of the Service or associated equipment, including software viruses or malicious code, is strictly prohibited.   

6.2 Termination of Service 

  1. SKYNET reserves the right to terminate or restrict your access (without notice or liability of any kind) to the Services in the event of a violation of these ToU or if you use of the Services is deemed illegal or fraudulent. SKYNET does not have the liability for the termination and moreover, SKYNET might have the right to seek the remedy for the breach of these ToU. 

  2. You may terminate this ToU and at any time by closing your Account, discontinuing any access to or use of the Services. 

  3. If your account which is inactive for more than [180] days, we shall have the right to close or suspend your account. 

7. Disclaimers  

7.1 Disclaimer of Representations and Warranties 

The information and materials on the Services are provided to you for informational purposes only and on an "as is" and "as available" basis. SKYNET makes no representations, warranties, or guarantees of any kind, either express or implied, regarding the Content. 

7.2 Display Variations 

The quality of your SKYNET content display can vary depending on your device and several factors, including: 

  1. Your location: Geographic distance from SKYNET servers can affects streaming quality. 

  2. Internet Connection Speed: Bandwidth limitations can impact video resolution and playback smoothness. 

In addition, SKYNET makes no representations, warranties, or guarantees that the Content is accurate or error-free. 

7.3 HD, Ultra HD and HDR Availability 

  1. Availability of these higher-resolution formats depends on your internet service provider’s capabilities and your device’s technical specifications. 

  2. No all content is offered in these formats, and some subscription plan may limited access to certain resolutions. 

7.3 Recommended Internet Speeds  

For optimal streaming experience, SKYNET recommends the following minimum internet speeds: 

  1. Standard Definition (SD): No minimum speed specified 

  2. High Definition (HD): 720 or higher: 3.0 Mbps per stream (minimum) 

  3. Full HD – 1080p or higher: 5.0 Mbps per stream 

  4. Ultra HD (4K or higher): 15.0 Mbps per stream 

7.5 Warranties for Service Performance 

SKYNET does not warrant or guarantee that the Services will be uninterrupted, uncorrupted, timely, or error-free. SKYNET shall perform routine maintenance on the Platform. You acknowledge that you may be unable to access the Platform during maintenance periods, and SKYNET shall not be liable for any such unavailability. 

7.6 Force Majeure 

SKYNET shall not be liable for any act or omission of any third party (such as, for example, any provider of telecommunication services, internet access, computer equipment, or software) or any circumstances beyond its reasonable control(such as, for example, natural disaster, war, riot, strike, act of civil or military authority, computer virus, or failure or interruption of equipment, electrical, telecommunications, or other utility services). 

7.7 Internet Access Charges 

You are responsible for any internet access charges associated with using SKYNET. Please consult your internet service provider for information on potential data usage fees. 

7.8 Streaming Initiating Time 

The time it takes to begin watching SKYNET content can vary depending on several factors, including: 

  1. Your location. 

  2. Current bandwidth availability. 

  3. The specific content you select. 

7.9 SKYNET Application Information 

The SKYNET application is developed and owned by SKYNET and is intended solely for authorized streaming and accessing SKYNET content through your subscription account. The application's features and functionalities may vary depending on your device and platform. Using the service may require third-party software subject to separate licensing agreements with those providers. You acknowledge that the SKYNET application and related third-party software may receive automatic updates. 

8. Account and Security  
  1. You acknowledges and agrees that the password assigned to your account (the "Password") is for your sole and exclusive use. You shall maintain the strict confidentiality of the Password and shall not disclose it to any third party. 

  2. You may grant access to your account to another person or entity ("Permitted User"). However, in doing so, you acknowledges and agrees that the Permitted User will be acting as your agent. You shall be solely liable for any and all actions taken by the Permitted User within the account, including, but not limited to, changes to the subscription plan. 

  3. To safeguard against unauthorized access, you shall maintain control over all devices used to access the Service. you shall not disclose the Password or details of the Payment Method associated with the account to any third party. 

  4. You agrees to provide and maintain accurate and up-to-date information relating to your account, including a valid email address for receiving account-related notifications. 

  5. SKYNET reserve the right to terminate or suspend your's account to protect you, SKYNET, or our partners from identity theft or other fraudulent activity. 

9. Modification and Update to the Services 
  1. SKYNET reserves the right to modify, suspend or discontinue, temporarily or permanently, the Services or any service to which it connects, with or without notice and without any liability to You. 

  2. SKYNET may from time to time provide enhancements or improvements to the features, functionality of the website/application, which may include patches, bug fixes, updates, upgrades and other modifications (collectively referred as "Updates"). 

  3. Updates may modify or delete certain features and/or functionalities of the Services. 

  4. You understand that SKYNET has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of the Services to You.  

  5. You further agree that all Updates will be (i) deemed to constitute an integral part of the Services, and (ii) subject to the terms and conditions of this ToU. 

  6. You acknowledged that SKYNET shall bear no liability for any delay or cancellation of transaction due to the purpose of this clause. 

10 Miscellaneous 

10.1 No Solicitation  

SKYNET does not solicit or accept unsolicited materials or ideas for its content (the "Content"). SKYNET shall not be liable for any similarity between its Content and any materials or ideas transmitted to it. 

10.2 Intellectual Property 

The Services and its entire contents, features and functionality including but not limited to all information, text, images, video and audio, and the design, arrangement thereof (the “Materials”) are exclusively owned by SKYNET, its licensors or other providers of such material and are protected by Myanmar and International copyright, patent, trademark, trade secret and other propriety or intellectual property rights laws. All other trademarks, logos, service marks, trade names, trade secrets and other intellectual properties associated with the application and Services also remain property of the SKYNET and their respective owners. Therefore, You may not use, sell, copy, modify, reproduce or distribute works any of such Materials in any way in whole or in part without our prior written consent. 

10.3 Customer Support 

Information and Assistance: Users seeking information about the Service or its features, or requiring assistance with their accounts, should visit the designated contact information provided by SKYNET  

  1. Remote Access Support: In certain situations, Customer Support may offer assistance through a remote access support tool. This tool grants SKYNET full access to the User's computer. Users who disapprove of such access should not consent to remote access support. SKYNET will provide alternative support methods in such cases. 

10.4 Severability 

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect 

10.5 Modification 

  1. SKYNET reserves the right to update and modify these Terms of Use from time to time. For material updates or modifications, SKYNET will provide you with at least one month's notice before the changes take effect. You who object to the changes may cancel their membership before the effective date.  

  2. By continuing access or use of the Services after the modification is updated on our website and application, You agree to bound by changes to the terms. Therefore, You should regularly review to stay updated about the changes. 

10.6 Electronic Communications 

SKYNET will send all account-related information (including payment authorizations, invoices, password or payment method changes, confirmation messages, and notices) electronically, primarily via email to the address provided during registration. 

10.7 Entire Agreement 

This ToU, together with the Privacy Policy and any other legal notices published by SKYNET on the Services, shall constitute the entire agreement between You and SKYNET concerning the Services. 

10.8 Limitation of Liability 

  1. Notwithstanding any damages you may incur, the maximum aggregate liability of SKYNET and its agents under any provision of this ToU and your exclusive remedy shall be limited to the subscription amount of the relevant transaction or your account. 

  2. To the fullest extent permitted by applicable law, SKYNET and its affiliates, agents, merchants, directors, employees, partners, contractors, and representatives (collectively, the "SKYNET Parties") shall not be liable to you or any other person for any (i) direct or indirect losses, (ii) consequential or incidental damages, (iii) claims, (iv) liabilities, (v) expenses, and (vi) costs arising out of or in connection with these ToU or you use of the Services, any delay or failure of the Services due to technical error or unavailability or any unauthorized or wrongful transaction except as otherwise expressly provided under this ToU. 

  3. In the event that applicable law does not permit the exclusion of consequential or incidental damages or the limitation of liability as set forth in above, SKYNET's liability shall be limited to the maximum extent permitted by law. 

10.9 Indemnity 

 You hereby agree to indemnify and hold harmless SKYNET and its affiliates, agents, merchants, directors, employees, partners, contractors, representative and any other related parties from and against any and all claims, losses, damages, liabilities, expenses and/or including lawyer fees that arise from or in connection with: 

  1. the assessment and/or use of application or Services by You or any other person accessing or using your Account; 

  2. breach of any of these ToU or any applicable law or regulation by You or any other person accessing or using your Account. 

10.10 Governing Law 

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. 

10.11 Dispute Resolution 

Any disputes arising out of or relating to these Terms of Use shall be exclusively resolved by the courts of Myanmar.
